Pоlly wаs surprised tо see оne of her best friends from high school аt their 15th high school reunion.  After high school, Polly hаd lost touch with her friend, and she thought Diana would have been too busy with her corporate responsibilities as owner of Diana’s Theatre to make time to attend their high school reunion.  Unlike Diana, Polly had always struggled with different jobs but had recently started seeing an uptick in responses after years of serious networking for her stand-up comedy show and her calendar was finally filling up.  Polly approached Diana early in the evening and excitedly told her about her newfound success.  Diana replied that Polly’s comedy show was always welcome at her theatre at any time, but she had to promise that any tips Polly received for her stand-up comedy show would be split evenly, 50-50, with the theatre.  “Of course,” Polly quickly replied. Since Diana was already in town for the reunion, the two of them met again the next afternoon for lunch at a small café.  Polly was ambitious and excited about the recent popularity of her stand-up comedy show and brought a handwritten document with her to reflect their agreement.  “I know I can count on you to support my comedy show,” she said to Diana.  “My calendar is open next Saturday, November 10th, and I’ve already checked with your staff at your theatre, and they said there is an opening between 9-10 p.m. that evening for my performance.  Now I know Saturday evenings must be completely in demand, but they told me there had been a cancellation and you could fit me in.”  Diana took off her coat cautiously and started reading the document.  “You have a lot of undefined words in here,” Diana replied.  “For instance, what do you mean by ‘the parties agree any tips received will be split on a fair basis?’  What is fair to you might not be fair to me!  I thought we agreed to split any tips you received 50-50!” “We’ll meet again to work these details out,” Polly assured her, “but as you can see from this sentence, Diana’s Theatre agrees to pay $750 to Polly for her stand-up comedy show no later than one week from her performance.  However, the next sentence provides that I can cancel my stand-up comedy show at any time due to any competing demands in my schedule.  Things have been so crazy for me, lately, I’m sure you understand.”  Polly said, as she patted Diana’s hand and pointed her to the signature line on the agreement for her to sign.  Although Diana tried to reach Polly again to discuss the tips, Polly never returned her phone calls or emails.  On November 10th, Polly received a standing ovation for her stand-up comedy.  Yet, she never received any payment from Diana after the deadline of November 17th. Discuss any remedies Polly has against Diana.  Discuss any defenses Diana can claim.
