Dоminiоn Ventures (“DV”) wаs а Pаnamanian cоffee farm that was acquired by USA Enterprises (“USAE”) in a merger completed in 2018. Dominion had a long record of violating import regulations. USAE is a Texas corporation based in Austin. In 2019, USAE was investigated by the U.S. Food and Drug Administration (FDA) for making false claims about the nutritional value of 3 brands of coffee it sold in health food stores. Dan Lester, a Dallas teenager, died in 2020 after drinking adulterated coffee he purchased that was one of the USAE brands. The FDA referred the matter to the U.S. Department of Justice (DOJ). In early 2021, Marta negotiated an acquisition with USAE and the parties entered into an asset purchase agreement whereby the coffee company acquired USAE in late 2021. In January 2022, the coffee company was sued by the family of Dan Lester for damages for the loss of life by Dan.
