Delivery is to be on or before February 13 at Manchester’s main factory. Manchester sends Regional the order on its preprinted purchase order form. On the back of the form it states that in the event there is a dispute with respect to the transaction, the parties must submit the dispute to binding arbitration in accordance with the procedures of the American Arbitration Association. Regional is excited about this large order and immediately sends back a confirmation on its own pre-printed invoice form. Their invoice confirms all of the material terms of the transaction as set forth in Manchester’s purchase order. However, on the back of Regional’s invoice it states that any dispute between the parties with respect to the transaction shall only be resolved in litigation in the courts of the State of Ohio. Neither Manchester nor Regional paid any attention to boilerplate on the back of either the invoice or the purchase order. The parties carry through with the transaction.
