When users visit а news website, they encоunter bаnner аds, pоp-ups, and interstitials all at оnce. Because so many ads compete for attention, users ignore most of them. This situation is a result of which concept:
Tоtаl wоrd cоunt (not including nаme, heаdings, or citations) must be between 300 – 600 words, and all answers must be in complete sentences, and in paragraph form (no lists or bullet points). Henry Holder is an officer, V.P. of Acquisition, at Luxury Linens And More Corporation, which manufactures and sells bedroom and bathroom linens (sheets, towels, etc.). Luxury Linens And More is incorporated in, and does business in, Hendersonville, Tennessee. While at a product idea conference in Nashville, Wendy approaches Holder with a new product idea – a self-drying towel – and Holder states that Luxury Linens And More would be interested. However, rather than purchasing the patent from Wendy and presenting the idea to the Luxury Linens And More board, Holder secretly sends the sample self-drying towel to a foreign country, has it copied and manufactured, puts a new name on the towel, and sells it under the corporate name Holder Incorporated. Henry Holder has committed the tort of patent infringement, along with, perhaps, other violations of the law. Explain (name and define) TWO specific duties of loyalty, that we discussed in class that Henry Holder has violated. Identify and define each duty violated and explain how that duty was violated? Proper citation to the assigned textbook chapter is required. Wendy decides to sue Holder Incorporated for theft and patent infringement, and wins a $1.2 million judgment, then asks the court to hold Holder personally liable by piercing the corporate veil. During discovery, Wendy learns that Holder Incorporated maintains no assets, and seems to be used simply for Holder to collect profits from the sale of the towel, which he then transfers to his personal checking account. RULES/APPLICATION/CONCLUSION: YOU ARE THE JUDGE. Will you hold Holder personally liable? Why, or why not? Identify the rules you are applying and your response must include case law support. Your answer must identify a relevant case (by full name and year decided) that we discussed in class during Chapter 18 lectures, that would be binding on this court in this case when writing your answer. Then, your answer must show how the facts and holding (not the outcome, but the rule of law the court created) of that case supports your conclusion/holding as to whether Holder will be held personally liable. Proper citations to the textbook and the case are required (see instructions above for proper citation format).
