Phillips is retired frоm regulаr wоrk but mаkes sоme extrа money by beachcombing in an area where it is legal to do so. Davidson owns a shop near the same beach that sells nautical themed gifts. Phillips usually visits the beach near sunrise and sunset; Davidson’s shop is normally closed when Phillips walks by the shop on his way to the beach and again on his way home. One day after finding some large attractive shells, Phillips stays at the beach longer than usual and sees that Davidson’s shop is open while walking home. Phillips goes in and shows Davidson his shells to see if Davidson is interested in buying any of them. Phillips had a 5-inch Black Murex and a 4-inch Conus Litteratus that day. Davidson agreed to buy them for a dollar each. [Since consideration has not yet been studied, students can assume adequate consideration was present for the previous exchange between Phillips and Davidson]. Davidson said, “If you find more shells like these, I would be interested in buying them.” Phillips said he would like to sell Davidson more shells but he usually is not at the store when the store is open. Davidson said in response, “No problem. Leave the shells you want to sell in this box by the front door. I will mail you a check once a month for the shells I buy.” Phillips agrees that this would be great. Normally, he sells the shells in bulk over the internet and it is more work. This would be easier and less expensive. Each day for the next month, Phillips finds shells at the beach and leaves them in the box at Davidson’s store. Over the course of the month, Phillips leaves 300 shells of various types and sizes in the box. Before he started leaving them in the box, Phillips had been able to sell them over the internet for an average of 50 cents each. Each day, Davidson looked through the box. Davidson notes the shells she wanted to buy, puts them on display in the store, and throws the others away. At the end of the month, Davidson sent Phillips a check for $1 for each shell purchased. This amounted to $100 for 100 shells. Phillips was upset when the check arrived. Since no shells were returned to Phillips in any way, Phillips had expected $300. Phillips goes to see Davidson who explains that she thought it was understood she would only pay for the shells she wanted to buy. Davidson said she only wanted fancy shells like the Black Murex she bought when they met. Other shells, like the Atlantic Welks, were too plain. Phillips says the shells he left were all like the shells he sold Davidson before and none were simple clams or mussels. Phillips expected to be paid for all of them, and Davidson should have left the unwanted shells in the box with an explanatory note so Phillips could sell them to someone else if she was not going to keep their agreement to buy all the shells. Davidson insists she never said she would buy all the shells and Phillips never asked for the return of unwanted shells. Discuss.
