Pаm оwns а cоnstructiоn business аnd operates as a general contractor.  Due to recent wildfires, there are many homes that need to be rebuilt.  Dan owns a lumber yard.  Pam contracts with Dan for Dan to provide a regular supply of lumbar to her for construction needs for one year.  Pam needs the lumber for framing which is an early step in the construction process. Dan supplies the lumbar to Pam for a number of weeks until a larger construction company, Top Guys Construction, comes to Dan offering to purchase all the lumber he has for the next two years at a price that is much better than what Pam had been paying.  Dan notifies Pam that he must cancel their contract after the next shipment. Pam contacts other lumber yards but they all have sold their lumbar to Top Guys Construction.  Generally there is a lumber shortage because of all the construction needed due to the wildfire.  Pam is so distraught she does nothing for 6 weeks except to watch old reruns and eating peanut butter sandwiches.  Discuss Pam’s ability to temporarily stop the sale of the lumber to Top Guys Construction through a preliminary injunction and her ability to force Dan to honor the contract.  Do not apply the UCC.  Assume that Pam can prove a breach of contract.
