Lаwyer is аdmitted tо prаctice in Califоrnia and practices law in Califоrnia. Corporation, incorporated and headquartered in California, consulted with Lawyer regarding an issue with Client’s warehouse in State B. Corporation’s Vice-President (“VP”) told Lawyer that the warehouse stores dangerous chemicals in violation of federal environmental regulations. VP requested that Lawyer advise Corporation regarding potential civil or criminal liability under federal law. Lawyer told VP that the matter was complicated, and because it involved an out-of-state location, Lawyer required a $50,000 non-refundable retainer. Lawyer further explained that he would charge $1,000 per hour for his work, Lawyer would bill Corporation every month, and the Corporation would have to pay Lawyer’s bill each month. Unknown to VP, the hourly rate was unreasonable and advanced fees of $10,000 are customary in California for similar work. VP verbally agreed. Lawyer traveled to State B to visit the warehouse with Corporation’s knowledge and consent. While in State B, Lawyer went deer hunting without a required license to hunt with an unregistered firearm in violation of State B’s laws. Lawyer was not arrested or charged with a crime. Soon afterward, Corporation discharged Lawyer before he performed any additional work. Corporation did not pay the retainer and Lawyer did not send the Corporation a bill for services. Analyze and comment on whether or not the Lawyer’s conduct described above constituted potential misconduct by Lawyer under the rules of professional conduct applicable to Lawyer’s conduct. State B follows the ABA Model Rules of Professional Conduct. Do not discuss Corporation’s potential liability, if any, regarding non-payment of the retainer or fees.
